PRAI's governance framework is designed to ensure that the organization remains mission-aligned, financially responsible, and ethically led at every stage of its growth. From the structure of our Board of Directors to the policies that guide our operations, every element of our governance reflects our commitment to earning and maintaining the trust of those we serve.

As a Canadian non-profit in its pilot phase, PRAI is actively building and formalizing its governance infrastructure — establishing the systems, policies, and oversight structures that will underpin our work for years to come.

Board Oversight

Board of Directors

Strategic Oversight & Ethical Leadership

PRAI's Board of Directors provides the independent governance leadership that ensures the organization remains accountable, mission-aligned, and operationally sound.

The Board of Directors is PRAI's highest governance body, responsible for setting strategic direction, ensuring financial accountability, and providing ethical oversight of the organization's operations and leadership.

Board members are selected for their professional expertise, personal integrity, and genuine commitment to PRAI's mission. The Board operates independently of management, providing objective oversight that protects the interests of the communities PRAI serves.

PRAI's Board operates through a committee structure that allows members to contribute their expertise in focused areas — Finance & Audit, Governance, and Programs & Research — while maintaining collective accountability for the organization's overall direction and performance.

Board Expectations

  • Attend and actively participate in board meetings (minimum 4 per year)
  • Serve on at least one board committee
  • Prepare for meetings by reviewing materials in advance
  • Act in the best interests of PRAI and its mission at all times
  • Disclose and manage any conflicts of interest
  • Serve as an ambassador for PRAI in professional and community networks
  • Support fundraising and resource development efforts
  • Participate in board orientation and ongoing governance training

Board members serve a three-year term with the option for renewal. Time commitment is approximately 4–6 hours per month.
